Responsibilities
Lead and support M&A transactions, primarily in the $10–50M range, with some deals exceeding $100M
Handle a full spectrum of corporate governance matters for private and public companies
Advise clients on capital markets, private equity, and related transactional issues
Draft, review, and negotiate all relevant deal documents including purchase agreements, ancillary agreements, entity formation documents, and governance materials
Qualification
Required
7+ years of corporate transactional experience from a reputable law firm
Significant M&A experience, including both buy-side and sell-side transactions
Exposure to private equity, capital markets, and complex corporate governance
Strong drafting and negotiation skills
PA Bar admission required
Preferred
A portable book of business (approximately $100–200K preferred)
