Responsibilities

Drafts, organizes, and files a variety of corporate legal documents, including those related to (i) formation of corporations, LLCs, partnerships, nonprofit organizations, and other legal entity types, (ii) amendments, (iii) dissolutions, (iv) state qualifications, (v) DBAs, (vi) mergers and conversions, (vii) annual reports, (viii) consents, and (ix) minutes
Prepares and files entity formation documents for corporations, LLCs, and nonprofit organizations (including 501(c)(3) entities)
Manages the closing process for corporate transactions, including developing and maintaining closing checklists and closing statements, coordinating execution (via SimplyAgree or similar platforms), and compiling closing books and binders
Conducts state securities (blue sky) research and prepares and submits related filings for same, conducts UCC searches and filings including summarization of same, research regarding other regulatory filings with state and federal agencies
Review, track and compile private fund subscription documentation in hard copy and via electronic platforms (i.e., Passthrough, Juniper Square, etc.), investor relations correspondence / maintenance of details regarding investor responses related to same
Enroll filers in EDGAR Next / draft Form ID applications in EDGAR Next and obtain and maintain EDGAR codes
Prepares and assists with submission of draft securities filings, including Form D notice filings, Section 16 filings and registration statements, and tracking of deadlines for same
Assists with due diligence materials and organization and maintenance of data rooms, client extranets, and matter files for corporate transactions
Maintains corporate records, including minute books, capitalization tables, and stock and option ledgers (each in either electronic or hard copy format) and supports private company transfer agent functions, including stock issuances, transfers, option grants, and maintenance of equity records in Carta or other corporate management software
Assists with IRS filings including obtaining EINs, 83(b) election filings, 147C request letters and Form 1023 submissions

Familiarity with corporate and transactional practices, ideally with prior experience in a large law firm or comparable corporate legal environment
Comfortable using AI-powered legal and productivity tools to enhance document drafting, research efficiency, and workflow management
Proficient in Microsoft Word, Excel, Outlook, and PowerPoint with solid technical skills to set up, track, and maintain matters
Demonstrates in-depth knowledge of the corporate law practice area and performs substantive work with minimal supervision
Possesses advanced knowledge of relevant practice area rules and procedures, with an understanding of the interdependence of the firm's practice groups
Excellent verbal, written, and interpersonal communication skills for daily interaction with attorneys, staff, and clients
Strong organizational skills and attention to detail; able to manage multiple projects and deadlines in a fast-paced environment
Assists attorneys across the firm on a wide range of substantive legal projects
Familiarity with key corporate and securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, and various corporation and LLC acts (particularly in the states of Delaware and Tennessee)
Exposure and experience with Tennessee Department of Revenue filings for registration and franchise and excise tax exemption applications
