Responsibilities
Draft and negotiate transaction documents including SPAs, RRAs, convertible notes or debt, preferred equity, and warrants
Lead issue-spotting and negotiation on structured terms including pricing resets, anti-dilution, conversion mechanics, blockers, defaults, and remedies
Drive deal execution and closings in coordination with issuer counsel and internal stakeholders
Review legal diligence materials and flag legal and execution risks
Maintain internal documentation standards and precedents
Qualification
Required
JD and active bar membership (New York preferred)
2–6 years of law firm experience with structured equity, PIPEs, convertibles, and warrant-heavy financings
Strong drafting and negotiation skills across securities transaction documents
Practical, business-oriented approach with a focus on execution
