Responsibilities

Working on M&A transactions, including asset and stock deals, from early stages through closing
Drafting, reviewing, and negotiating purchase agreements, ancillary transaction documents, and closing deliverables
Managing and coordinating due diligence and assisting with transaction execution and closing logistics
Supporting transaction structuring and issue spotting under partner supervision
Advising clients on general corporate and commercial matters, including contract drafting and negotiation and ongoing corporate counseling
Interacting directly with clients and opposing counsel on deal-related and corporate matters
Managing multiple matters simultaneously and meeting deadlines in a high-volume practice

Required

3–7 years of relevant law firm experience
Substantial focus on M&A, corporate, and commercial transactions
Demonstrated experience drafting and negotiating transactional and commercial agreements
Strong understanding of the deal process, including diligence, documentation, and closing
Ability to take ownership of workstreams and handle matters with limited supervision appropriate to experience level
Excellent legal writing, drafting, and analytical skills
Strong organizational skills and the ability to manage competing priorities
Comfort working in a fast-paced, collaborative environment with regular interaction with partners and other team members
Prior, relevant law firm experience is essential
Candidates coming from transactional practices where they had hands-on responsibility will be strongest
Comfortable with general corporate/commercial work
Expect and be comfortable with regular in-office presence as part of the team culture
