Confidential company is seeking an experienced and business-minded Real Estate and Finance Counsel to support a growing portfolio of real estate investments and structured investment offerings. The role involves managing end-to-end real estate transactions and providing practical legal guidance that supports business objectives.

Responsibilities

Draft, review, and negotiate purchase and sale agreements (PSAs) for real estate acquisitions and dispositions
Manage and conduct real estate due diligence, including title, survey, appraisals, property condition reports, environmental reviews, zoning, and lease analysis
Oversee and execute transaction closings, ensuring accurate documentation and compliance with internal and external requirements
Draft, review, and update private placement memorandums (PPMs) and related offering documents for structured real estate investments
Assist with automation and process improvements related to the preparation of investment offering documents
Draft and negotiate trust agreements, operating agreements, subscription documents, and investor disclosures
Support real estate financing transactions, including loan document review, negotiation, diligence, and closing
Draft and issue tenant-related notices, including estoppels, SNDA communications, maintenance notices, default notices, and renewal or option notices
Review and interpret lease agreements to support asset management decisions and ensure compliance with landlord obligations
Draft and negotiate property-level agreements, including access agreements, license agreements, service contracts, vendor agreements, and maintenance-related documents
Manage and coordinate with outside counsel to ensure efficient and cost-effective legal support
Perform other duties as assigned by legal leadership

Required

Juris Doctor (J.D.) from an accredited law school; active membership in at least one U.S. state bar in good standing
5–10+ years of experience in real estate transactions, preferably in a law firm, real estate investment company, or private equity environment
Strong experience with commercial real estate acquisitions and dispositions, including PSA negotiation, due diligence, and closings
Strong organizational skills and proficiency with standard real estate and transactional workflows
Excellent communication skills and a practical, solution-oriented approach

Preferred

Experience with securities-related real estate syndication documentation preferred (or demonstrated ability to learn quickly)
Experience with real estate finance transactions (borrower-side or lender-side) strongly preferred
Familiarity with entity formation, trust structures, and deal-level governance
