Responsibilities
Leading negotiation and execution of finance documents
Drafting and negotiating non-binding term sheets
Reviewing internal/external counsel commitment documentation with sponsor to accurately capture economics and structure of transaction
Selecting and working with external counsel
Assisting loan origination team with engagement letters for third party consultants
Leading closing process, working with outside counsel
Proactively identifying operational risks/control deficiencies in loan structuring and working with external counsel to solve
SNDAs, REAs, duty of care agreements, legal opinions and other ancillary facility documentation
Providing legal documentation expertise to asset management, loan origination and special loans advisory teams concerning ongoing asset management
Providing strategic advice to team’s senior management and bank wide control functions on transformational projects for the business (entering new jurisdiction, pursuing new product line, creating new legal entities for business)
Qualification
Required
Law degree from accredited law school
At least 2 years private practice or in-house legal experience in real estate lending
Excellent transaction management skills and attention to detail
Proficiency in LMA or LSTA based real estate loan documentation
