Responsibilities

Serve as a senior legal advisor, providing strategic legal and regulatory counsel to MVB and its business units on the most complex and consequential matters
Lead the drafting, review, and negotiation of complex commercial contracts, strategic partnerships, and high-value agreements
Direct and conduct sophisticated legal research, develop authoritative legal opinions on novel issues, and draft complex legal documents to support MVB and MVB business unit activities
Advise Executive/Senior management on legal risks and strategies for mitigation
Develop, maintain, and continuously improve contract templates for client partners and vendors to mitigate risk for the Company and streamline negotiations for use by internal stakeholders
Manage coordination with external counsel and internal stakeholders, ensuring alignment with evolving corporate goals
Partner with business leaders to enable MVB’s growth initiatives while ensuring robust systems and controls are in place to maintain compliance with all applicable laws and regulations
Lead and oversee regulatory reporting and interfacing activities with federal and state agencies, including examinations and enforcement matters
Leads reviews with internal audit to fulfill company audit requirements
Support risk management activities, including development of functional domain risk assessments, compilation of product and service risk assessments, and development of risk management strategies
Mentor, train, and develop junior attorneys and legal staff, providing guidance on professional growth and substantive legal matters. May supervise direct reports and is responsible for their performance management and career development
Maintain corporate client confidentiality in connection with opportunities involving material non-public information or tied to personally identifying information

Required

Juris doctor degree from an accredited law school
Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority (WV or VA bar admission a plus)
Minimum 8-12 years of progressive experience practicing in a corporate legal department and/or law firm with emphasis on banking/finance, including demonstrated experience handling complex, high-stakes matters
Overall broad legal knowledge (corporate, commercial, contract law)
Excellent written and verbal communication and presentation capabilities
Strong verbal and written communication skills, professional presentation, and organizational skills
Ability to think critically, creatively and with care in a fast-paced, complex work environment
Self-motivated, with the ability to work independently and to work collaboratively as part of a team in a busy, fast-paced environment
Proven ability to communicate complex legal concepts clearly and effectively to non-legal stakeholders at all levels
Exceptional negotiation, analytical, problem-solving, and decision-making skills
High ethical standards, integrity, and sound judgment in dealing with confidential and sensitive issues
Ability to work effectively under pressure and handle multiple complex matters simultaneously
