Support M&A, financings, and other transactional matters
Prepare and file entity documents with state agencies
Maintain corporate records and cap tables
Coordinate due diligence and transaction closings
Prepare closing checklists, signature packets, and post-closing materials
Communicate with attorneys and third parties as needed
Track and enter billable time
Qualification
Required
5–7+ years of corporate / transactional paralegal experience
Law firm experience supporting corporate, tax, M&A, or finance practices
Comfortable billing time (approx. 1,450 billable hours/year)
Ability to manage multiple transactions simultaneously
Strong attention to detail and ownership mindset
Hands-on experience with entity formations, amendments, and dissolutions
Corporate governance (minutes, consents, resolutions)
Cap tables
Due diligence and data rooms
Closings (checklists, signature packets, post-closing deliverables)
Preferred
Securities compliance experience is a strong plus
SEC filings helpful but not required
