Corporate Paralegal
Responsibilities
Support domestic and cross-border M&A and other complex corporate transactions by managing due diligence, data rooms, and transaction documentation
Research and compile transaction-related materials, precedent deals, and current M&A trends; prepare capitalization and conversion tables
Draft and manage key transaction documents, checklists, SEC filings, stock exchange notices, and registration statements
Coordinate signature collection, distribution of executed documents, and preparation of transaction books
Handle post-closing tasks, integration matters, conflicts checks/waivers, and working group lists while maintaining strong client communication
Organize and maintain M&A reference materials, newsletters, and activity reports for ongoing team use
Qualification
Required
Bachelor's degree required
1+ years of corporate experience including M&A paralegal experience
Proficient in Microsoft Office, iManage, and other firm applications; able to learn and adapt quickly after orientation
Strong communication, organization, multitasking, and client service skills, with the ability to perform under pressure
Self-motivated with a proven ability to take initiative, manage, and direct projects independently while collaborating effectively with others
