Responsibilities
Draft and negotiate financing and transactional documents, including private placement memoranda, subscription agreements, pre-IPO fund documents, purchase agreements, and related disclosure documents
Assist with SPAC formations, de-SPAC transactions, PIPE investments, and ongoing public company matters
Support capital markets transactions and securities offerings
Conduct due diligence and manage deal timelines and closing processes
Coordinate with clients, opposing counsel, and internal teams to efficiently execute transactions
Provide day-to-day corporate and securities law advice to clients
Qualification
Required
J.D. from an accredited law school
3–5 years of relevant corporate experience, with a focus on financings and capital markets transactions
Hands-on experience drafting private placement and/or SPAC-related documents
Admission to practice in [State] (or eligibility for admission)
Strong drafting, analytical, and organizational skills
Ability to manage multiple transactions and work independently in a fast-paced environment
Preferred
Experience with PIPE transactions, registered direct offerings, or public company reporting
Familiarity with SEC filings and disclosure requirements
Prior experience at a law firm with a strong capital market or emerging companies' practice
