Responsibilities
Advise on U.S. federal and state securities compliance, with emphasis on private placements and registration exemptions
Counsel RIAs, fund managers, and investment sponsors on regulatory, compliance, disclosure, and governance matters
Draft and oversee private offering materials, subscription documents, and related agreements
Identify and resolve securities compliance and governance issues for privately held companies
Monitor regulatory developments and support compliance initiatives
Manage client relationships and mentor junior attorneys
Qualification
Required
5+ years of securities law experience, including private offerings, venture capital, Regulation D, A, and S, and private fund formation
Experience advising RIAs or investment sponsors
Strong drafting experience with private placement and disclosure documents
JD from an accredited law school
Colorado bar admission or ability to obtain
