The role focuses on designing and negotiating compensation arrangements for Mergers & Acquisitions, crafting complex equity incentive plans, and providing high-level counsel on compliance within a global corporate framework.
Responsibilities
Designing and negotiating compensation arrangements within high-stakes Mergers & Acquisitions
Crafting complex equity incentive plans and executive employment agreements for C-suite leadership
Providing high-level counsel on retirement, welfare plans, and 409A/280G compliance within a global corporate framework
Qualification
Required
Minimum of 1+ years of direct experience within an AmLaw 100 or equivalent high-end boutique environment
Strong business judgment and understanding that 'Exec Comp' is as much about people and retention strategy as it is about the legal code
Exceptional drafting skills in fast-paced deal environments
Desire to work in a firm that prioritizes 'Firm Citizenship,' pro bono work, and a supportive internal community
