Transactional Business Attorney
Frost Law is an Annapolis-based law firm known for its expertise in tax, estate, bankruptcy, and business law. They are looking for a Transactional Business Attorney to oversee and mentor a team while driving the growth of the firm's transactional practice.
Responsibilities
Draft, review, and negotiate a wide variety of commercial contracts, including vendor agreements, NDAs, service agreements, licensing deals, and partnership contracts
Advise internal stakeholders and clients on legal risks and business terms related to corporate transactions
Lead and support M&A activities including due diligence, deal structuring, and post-closing integration
Ensure compliance with corporate governance and regulatory requirements
Collaborate with cross-functional teams including finance, operations, and human resources
Manage, mentor, and supervise junior attorneys and paralegals within the transactional group
Develop and execute strategies to grow the business transactional practice
Manage and coordinate with external counsel as needed for specialized legal matters
Monitor and advise on changes in relevant laws and regulations that may impact the business and clients
Qualification
Required
Juris Doctor (JD) from an accredited law school and active bar membership in good standing
5+ years of experience in corporate and transactional law, preferably in a law firm and/or in-house legal department
Proven expertise in contract law, business transactions, and corporate governance
Strong negotiation, communication, and interpersonal skills
Ability to manage multiple projects in a fast-paced environment with a high level of autonomy
Entrepreneurial spirit and interest in growing a practice area within an established firm
Business acumen and the ability to provide pragmatic legal solutions
Preferred
Previous management or team leadership experience strongly preferred
