Law Practice
Responsibilities
Draft and negotiate commercial and business agreements (asset purchases, operating agreements, shareholder agreements, services agreements, leases, promissory notes, guaranties, and related documents)
Support mergers, acquisitions, financings, and restructurings through due diligence, issue spotting, and closing execution
Advise closely held businesses and entrepreneurs on entity formation, governance, and day-to-day legal issues
Prepare closing checklists, manage deal timelines, and coordinate post-closing deliverables
Draft and respond to demand letters and pre-dispute correspondence
Draft and respond to written discovery
Prepare dispositive and non-dispositive motions and supporting briefing
Assist with deposition preparation and litigation strategy related to business disputes
Qualification
Required
JD from an ABA-accredited law school
Active Texas law license, in good standing
2–3 years of law firm experience, with meaningful transactional drafting responsibility and some litigation exposure (motion practice and discovery)
Strong writing skills, sound judgment, and the ability to manage matters independently
