Responsibilities
Prepare presentation materials for Compensation Committee meetings periodically throughout the year
Keep and update an annual agenda of Compensation Committee workplan topics
Using public filings, prepare benchmark exhibits of CEO and executive pay levels
Research and analyze competitor proxy statements, as well as Form 4 filings and other key metrics
Track and review Proxy Advisor policy changes, use ISS and Glass Lewis models to run proforma modeling plan recommendations
Record SEC rule changes that may affect company disclosures, provide insight and recommendations to address changes
Keep and update records and inventory for each executive employee agreement, change in control agreements and documents relating to compensation
Keep data and inputs needed to produce the Compensation Discussion and Analysis of the company Proxy Statement
Using stock prices, perform modeling and monitoring of share usage for employee equity grants
Create and distribute statements for the Top 50 paid employees, giving a condensed perspective of each employee's outstanding awards and liquidity events
Provide executive compliance analysis with compensation policy
Examine level of payment for non-executive members on the Board of Directors
Keep a positive relationship and conversation with market vendors and the ISS Governance team
Create a solid and efficient relationship with HR, Legal, Tax, and Payroll partners
Qualification
Required
Software or strong passion for technology
Ability to analyze and understand public filings and proxies
Superior writing skills
Verbal communication and presentation skills
Ability to use all relevant technologies
College Degree
5+ years of experience
