Responsibilities
Prepare, review, and file SEC documents (e.g., Form D, ADV, exemptions, ongoing filings)
Ensure compliance with federal and state securities regulations
Advise on fund structure, governance, and regulatory strategy
Draft and review offering documents, subscription agreements, and investor disclosures
Develop and maintain compliance policies and procedures
Coordinate with external counsel, auditors, and regulators as needed
Serve as an ongoing legal advisor to fund leadership
Qualification
Required
Juris Doctor (JD) and active license to practice law
5+ years of experience in securities law, investment funds, or regulatory compliance
Hands-on experience with SEC filings and compliance frameworks
Strong understanding of private fund regulations and exemptions
Startup mindset with the ability to operate in a lean, evolving environment
High attention to detail, integrity, and sound legal judgment
