Responsibilities
Conduct legal research and analysis related to ERISA, executive compensation, and employee benefits
Draft and review executive compensation and employee benefits documentation
Assist with equity plans, incentive arrangements, retention packages, and severance agreements
Support compensation and benefits aspects of mergers, acquisitions, and other corporate transactions
Draft agreements, contracts, and related deal documents (including transaction and compliance materials)
Help manage complex matters while maintaining strong attention to detail and deadlines
Build and maintain client relationships through responsive, practical counseling
Collaborate with attorneys and business professionals across disciplines
Participate in firm programs, professional development, and pro bono opportunities
Ensure work product complies with applicable legal standards and regulations
Qualification
Required
Strong interest in employee benefits and executive compensation law required
1+ year of experience preferred; AmLaw 100 experience is a plus
Excellent written and verbal communication skills
Strong research, analytical, and problem-solving abilities
High attention to detail and sound business judgment
Ability to work both collaboratively and independently
Organized, proactive, and able to manage multiple matters efficiently
Strong organizational and project management capabilities
Conceptual thinking and persuasive communication
Ability to draft clearly and precisely for sophisticated audiences
Professionalism and discretion when handling sensitive compensation matters
Ability to take ownership and follow through consistently
