Responsibilities
Manage and execute M&A transactions with increasing autonomy, from diligence through closing
Run key deal workstreams: diligence coordination, disclosure schedules, closing checklists, and deliverables
Draft and negotiate transaction documents (purchase agreements, merger agreements, ancillary documents)
Support public company transactions, including disclosure, governance, and process considerations
Assist with takeover defense matters, including responses to shareholder activism and contested situations
Coordinate with specialists across tax, employment, real estate, IP, and finance to keep deals moving efficiently
Communicate clearly with clients and counterparties, ensuring issues are flagged early and handled pragmatically
Contribute to practice growth through responsiveness, teamwork, and a business development mindset
Qualification
Required
3–5 years of Corporate M&A experience (running deals and managing major responsibilities)
U.S. law firm experience required
Admitted to and in good standing in the jurisdiction of hire
Strong understanding of corporate law fundamentals and market deal terms
Excellent drafting and negotiation skills with attention to detail and commercial judgment
Ability to manage multiple transactions simultaneously under tight timelines
Strong academic credentials
Outstanding academic credentials required
Admitted to the bar in the relevant jurisdiction
Deal management and execution across timelines, teams, and workstreams
Strong command of M&A market terms and transactional risk allocation
Clear and confident written/verbal communication with senior attorneys and clients
Practical, solutions-oriented approach to complex transaction issues
Business development-oriented mindset and strong client service instincts
