Responsibilities
Support M&A transactions from start to finish, including planning, diligence, drafting, negotiation support, and closing execution
Assist in structuring and documenting deals, including purchase agreements, disclosure schedules, and key negotiated provisions
Review, organize, and summarize due diligence materials; spot issues and help develop practical solutions
Draft and revise ancillary agreements such as employment agreements, earn-outs, promissory notes, and governance documents
Prepare and maintain closing checklists, signature packets, and filing deliverables to ensure smooth closings
Coordinate with internal finance/lending teams as needed to align transaction timelines and requirements
Maintain high-quality work product in a deadline-driven environment with multiple active matters
Contribute to client service and responsiveness by communicating clearly and proactively with internal stakeholders
Qualification
Required
2–4 years of corporate experience with a focus on M&A transactions
Juris Doctor (JD) from an accredited law school
Active member in good standing with the Texas Bar
Proven drafting experience with purchase agreements and deal ancillary documents
Comfort with corporate finance fundamentals and basic financial concepts (e.g., cap tables, accounting considerations)
Strong attention to detail, organization, and ability to manage competing deadlines
Excellent writing, communication, and teamwork skills
Preferred
Experience representing entrepreneurial, sponsor-backed, or private equity-backed businesses is strongly preferred
