Responsibilities
Structure, form, and operate private investment funds for sponsors, including venture capital and growth equity vehicles
Advise on fund governance, fund documents, side letters, investor negotiations, and operational workflows
Counsel clients on legal, regulatory, and compliance matters impacting private funds and advisers
Provide guidance related to the Securities Act, Exchange Act, Investment Company Act, and Investment Advisers Act
Represent investors in private investment funds and advise on related investment programs
Support fund launches and ongoing fund maintenance across the fund life cycle (formation through operations)
Coordinate with internal teams on cross-practice issues impacting transactions and compliance
Help manage timelines, workstreams, and client communications in a deadline-driven environment
Contribute to business development and practice growth initiatives as a key mid-level team member
Qualification
Required
4–6 years of fund formation / private funds experience (sponsor-side and/or investor-side)
Bar admission in good standing (jurisdiction of hire)
Superior academic credentials
Excellent verbal, written, and interpersonal skills; confident communicator with clients and team members
Strong project management ability—comfortable owning multiple matters and deadlines
Strong understanding of private fund formation concepts, documentation, and market terms
Familiarity with adviser regulatory and compliance considerations is strongly valued
Preferred
Prior experience at a national or international law firm preferred
