Executive Compensation and Benefits Attorney
Illapa Search is a top law firm seeking a Mid-Level Attorney to join its Executive Compensation and Benefits practice in New York, NY. The role focuses on advising clients on sophisticated compensation and benefits issues arising in complex corporate and transactional matters, including public and private mergers and acquisitions.
Responsibilities
Analyzing regulatory compliance under federal laws
Drafting and reviewing compensation-related documents and disclosures
Supporting transactions through diligence, structuring, and execution
Qualification
Required
Juris Doctor (JD), Master of Laws (LLM), or equivalent degree
Admission to practice law in the State of New York
Minimum of two (2) years of experience advising on executive compensation and benefits matters
Experience analyzing compliance with federal regulations, including the Internal Revenue Code (IRC), ERISA, and SEC rules
Experience advising on compensation and benefits aspects of public and private M&A, private equity transactions, and other corporate transactions
Experience drafting and reviewing executive compensation disclosures, equity incentive plans, employment and severance agreements, and S-8 registration statements
Familiarity with compensation clawback rules, change of control analysis, and preparation of diligence materials and executive summaries
Experience preparing or assisting with SEC filings, including Schedule 14A and Forms 10-K, 10-Q, and 8-K
Strong analytical, drafting, and communication skills
Ability to manage multiple matters in a collaborative, deadline-driven environment
