Private Funds Attorney
Illapa Search is seeking a highly qualified mid-level Attorney for a top law firm's New York office, specializing in Private Funds, Secondaries practice. The role involves advising clients on secondary transactions and negotiating fund organizational documents in a collaborative environment.
Responsibilities
Focus on a broad range of private funds secondaries matters, including complex GP-led secondary transactions and continuation vehicle structures
Advise clients throughout the lifecycle of secondary transactions
Negotiate fund organizational and transactional documents
Support asset-level and interest-level acquisitions and dispositions
Qualification
Required
Juris Doctor (JD) from an accredited law school
Admission to practice law in the State of New York
3–5 years of experience handling private funds transactions
Experience negotiating fund organizational documents
Experience with purchase and sale transactions involving portfolio companies and/or limited partnership interests
Excellent academic credentials
Strong drafting, negotiation, and analytical skills
Ability to manage multiple matters in a fast-paced, team-oriented environment
Preferred
Experience with GP-led secondary transactions, including continuation vehicles, strongly preferred
