Responsibilities
Support clients through day-to-day operational and compliance issues
Address state and federal regulatory issues, including professional licensing, investigations and discipline, proactive risk mitigation, and advising on business plans
Resolve customer disputes and advise clients on customer complaints and questions
Research and advise on compliance issues across jurisdictions
Support business acquisitions and sales, including conducting due diligence, drafting and reviewing purchase agreements, ancillary agreements and closing documents, and coordinating transaction timelines
Assist with entity formation and restructuring, including drafting and revising formation and governance documents, and corporate compliance
Support client succession planning and estate planning
Negotiate, draft, and review commercial contracts
Qualification
Required
J.D. from an accredited law school
Admission to the Pennsylvania Bar or eligibility for admission
Strong background or demonstrated interest in business-focused practice and highly regulated industries
Outstanding judgment and problem-solving skills
Ability to manage multiple priorities and deadlines in a fast-paced environment
Commitment to producing high-quality work and delivering exceptional client service
Preferred
2–4 years' experience in a corporate, transactional, estate, or broad-based litigation practice preferred
