Responsibilities

Take ownership of key agreements including MSAs, LTSAs, PSAs, and real estate leases
Build the legal infrastructure that enables contract activity to scale effectively
Develop and refine templates, playbooks, and policies that drive consistency, efficiency, and smart risk management across transactions
Work closely with business leaders to identify risk, ensure compliance, and help shape deals that drive strong business outcomes
Stay ahead of industry trends, case law, and regulatory developments affecting transactions, serving as a trusted advisor

Required

Bachelor's degree required
J.D. from an ABA-accredited law school; licensed and in good standing in at least one U.S. state (New York preferred)
10+ years of attorney-level transactional experience, ideally within EMS or a related manufacturing/defense environment
Excellent negotiation, drafting, and communication skills with strong business judgment and a pragmatic, solutions-oriented approach
Highly organized, responsive, and able to manage multiple concurrent matters in a fast-paced, entrepreneurial environment
Deep understanding of contract and commercial law (UCC), vendor and service agreements, NDAs, licensing, and partnership agreements
Experience advising on contract formation, administration, modifications, terminations, disputes, audits, and compliance (DCAA, DCMA)
Federal Acquisition Regulation (FAR)
Defense Federal Acquisition Regulation Supplement (DFARS)
Contract types: fixed price, cost-reimbursement, IDIQ, and OTA
Source selection and bid protests
Contract disputes and claims (Contract Disputes Act)
Ethics and procurement integrity rules
Lead advanced contract drafting, negotiation, interpretation, and execution
Translate complex legal concepts into clear guidance for non-legal stakeholders
Identify and mitigate legal, regulatory, fiscal, and national security risks
Balance legal protections with business objectives to close deals effectively
Strong attention to detail, with the ability to identify risks, ambiguities, and contractual gaps
