Responsibilities
Advise clients on business formation, structuring, and ongoing operations—including contracts, employment matters, tax considerations, and regulatory compliance
Represent buyers and sellers in complex business transactions, including asset and stock sales
Lead negotiations and draft a wide range of contracts, including operating agreements, buy/sell agreements, management agreements, employment and independent contractor agreements, and service, vendor, and joint venture agreements
Support clients through real estate transactions, including lease negotiation and contract review
Provide strategic input on succession planning and long-term business goals
Qualification
Required
J.D. from an ABA-accredited law school
Active license to practice law in Nevada
3+ years of legal experience in business or corporate law
Demonstrated ability to manage sophisticated matters independently
Strong writing, drafting, and negotiation skills
High attention to detail, sound judgment, and excellent time management
Preferred
CPA certification or LL.M. in Taxation
Background in real estate law or business succession planning
