Responsibilities
Advise clients on structuring, formation, registration, and ongoing compliance of registered investment companies
Interpret and apply the Investment Company Act of 1940 and Investment Advisers Act of 1940
Draft and review offering documents, prospectuses, statements of additional information, and board materials
Prepare and manage SEC and regulatory filings for mutual funds, ETFs, BDCs, and other registered vehicles
Provide strategic regulatory guidance on fund governance and operational compliance
Support product development initiatives across diverse fund types
Counsel asset managers and advisers on evolving securities regulations
Collaborate with tax, ERISA, and litigation teams on cross-disciplinary matters
Participate in client meetings and deliver practical, business-focused advice
Qualification
Required
3–6 years of experience as a Registered Funds Attorney, Investment Management Attorney, or securities regulatory associate
Strong knowledge of the Investment Company Act and Investment Advisers Act
Experience drafting fund offering and compliance documents
Excellent legal research, writing, and analytical skills
Ability to manage complex regulatory matters independently
Admission to practice in at least one U.S. jurisdiction
Preferred
Massachusetts Bar admission or eligibility to waive in
Experience with ETFs, BDCs, or variable insurance products
Background advising investment advisers or asset managers
Experience in a large law firm, financial institution, or regulatory agency
