Responsibilities
Draft, review, negotiate, and close complex commercial agreements with enterprise customers and strategic partners
Advise sales, alliances, services, and product teams on deal structure, risk allocation, and contractual strategy
Support management on legal matters related to commercial engagements and partnerships
Assist in the development and optimisation of contract templates, playbooks, and internal policies
Work independently while collaborating closely with internal stakeholders across the organisation
Support the Deputy General Counsel, Commercial, on broader legal initiatives as needed
Qualification
Required
Juris Doctor (JD) from a top-tier law school
Active membership in at least one U.S. state bar
8+ years of relevant legal experience, including: 3+ years at a premier law firm; 3+ years as commercial counsel at an enterprise SaaS or technology company
Deep experience with enterprise software transactions, including SaaS, PaaS, software licensing, strategic alliances, channel and distribution models, IP, and open-source issues
Excellent written, verbal, analytical, and interpersonal skills
