Responsibilities
Lead and manage middle‑market M&A transactions (buy‑side and/or sell‑side)
Draft, review, and negotiate primary transactional documents, including purchase agreements, operating agreements, shareholder agreements, and ancillary deal documents
Serve as a trusted advisor to clients, providing practical, business‑minded counsel
Coordinate due diligence, manage deal timelines, and collaborate with internal and external stakeholders
Support private equity transactions and Reg. D offerings as needed
Qualification
Required
J.D. from an accredited law school
Active bar membership in at least one U.S. jurisdiction (East Coast preferred)
8+ years of corporate transactional experience, with a strong focus on M&A
Demonstrated ability to interface directly with clients and manage complex matters independently
Strong drafting, negotiation, and communication skills
Ability to thrive in a fast‑growing, team‑oriented environment
Preferred
Experience in private equity transactions and/or Regulation D offerings
