Corporate Paralegal
Norris McLaughlin, P.A. is a law firm seeking a Corporate Paralegal to assist in the preparation and filing of corporate documents and manage various legal filings. Responsibilities
Assist in the preparation and filing of corporate and organizational documents, including Articles of Incorporation/Organization, Bylaws, operating agreements, advertising and annual reports
Preparation and filing of Uniform Commercial Code Financing Statements and amendments, as well as conducting docket management, searches, renewals and additional filings
Obtain EIN and preparing and filing S-elections
Process dissolutions for all entity types
Prepare organizational resolutions, approval and consents, as well as preparing secretary/manager/member/general partner certificates
Analyze contracts and other transaction documents
Coordinate due diligence and disclosure schedules for mergers and acquisitions
Perform research of statutory requirements for corporate filings and annual reports in domestic and international jurisdictions
File annual reports and other required documents with state and federal agencies; monitor legislation updates
Corporate Franchise Tax calculation and payment
Document retrieval for Certified Copies, Certificates of Good Standing and legalization of corporate documents
Maintain corporate minute books, stock ledgers and stock certificates
Assist in client correspondence, notarization, and document execution, ensuring compliance with state and federal regulations
Prepare closing checklists, binders and signature pages
Respond to audit letter requests
Conduct research using Lexis-Nexis and Westlaw
SEC and Blue Sky filing – not essential and willing to train
Assist with other functions as needed in the Business Law Group
Understand functionality of all office equipment and systems
Attend educational workshops, joining professional associations, building networks with fellow professionals, and reviewing industry publications to understand best industry practices
Qualification
Required
Excellent written and verbal communication skills
Excellent time management skills and the ability to meet deadlines
Flexibility, responsiveness, adaptability, and professional maturity
Ability to act with integrity, professionalism, and confidentiality
Ability to function well in a high-paced and stressful environment
Ability to communicate with personnel at all levels
Proficient with Microsoft Office products and document management software
Minimum of 5+ years of experience as a corporate paralegal, preferably in a law firm setting, with a focus on the essential functions described above
Preferred
Experience with M&A and commercial finance transactions, regulatory filings, and compliance matters is highly preferred
