Senior Paralegal

Responsibilities

Independent preparation of standard contracts and legal forms for review of attorneys
Draft corporate board resolutions and meeting minutes
Become fully immersed in legal structure of parent company and all subsidiaries
Accurate maintenance of reports and records related to corporate compliance issues and the corporate minute books, including annual and special meetings and consents, entity formation and renewal documentation, qualifications to do business, dissolutions, certifications and company ownership
Prepare and maintain corporate minute books, transaction files and general corporate housekeeping Maintain electronic profiles databases and records containing corporate information for over 100 legal entities (foreign and domestic) to ensure information is current and accurate
Prepare governmental filings by specified deadlines in connection with governance activities
As needed, provide assistance to Corporate Secretary or General Counsel in connection with all preparation, signature and filing of board, shareholder, and committee consents, agendas, meetings and minutes
Create and maintain files in coordination with department file clerk
In accordance with the ABA Rules of Professional Conduct, Paralegal perform certain legal tasks that would otherwise be performed by an attorney
Identify resources needed to support legal and business projects and obtain them in accordance with company policies and procedures Initiate, manage, and complete various legal and business projects
Assume organizational responsibility for various projects and revise as appropriate to meet changing needs and requirements
Ensure the smooth flow of information to and from the Law Department Maintain positive relations for the Law Department within the Company and its affiliates, associates, outside attorneys, business partners, customers, and vendors
Provide word processing and administrative support as requested
Performs miscellaneous job-related duties as assigned
Provide public notary services for department purposes Perform legal research as needed

Required

Paralegal Certificate from an ABA accredited institution or program required
At least 5 years of law firm or corporate legal department experience
Experience in corporate secretary functions, document/contract drafting, and in closing transactions, including acquisitions and divestitures
SEC regulatory experience desirable, including experience with EDGAR and preparation and filing of '33 Act and '34 Act disclosures
Knowledge of the principles and procedures of legal research, including use of Westlaw and Lexis online services
Demonstrated ability to multi-task and manage several projects at once
Strong computer skills, particularly with Microsoft Word, Access, Excel, Outlook, and PowerPoint
Ability to gather and organize legal evidence Knowledge of legal contract, agreement and settlement procedures and documentation
Ability to create, compose, and edit written materials
Expert knowledge of hCue entity management software Understanding of, and ability to handle, interaction of multiple, sometimes competing corporate governance demands in a large multinational entity
Extremely strong organization skills and attention to detail
Demonstrate punctuality, time management, organization, planning and coordination skills
Ability to maintain confidentiality of information
Ability to quickly learn corporate governance requirements in multiple domestic and foreign jurisdictions
Must be able to work well under pressure and handle rapidly changing deadlines
