Responsibilities

Lead the drafting, review, and negotiation of a wide range of commercial agreements, including enterprise SaaS, channel and reseller, marketplace, professional services, vendor, and data protection agreements
Support high-value, non-standard, and strategic deals with a strong balance of risk awareness and business pragmatism
Serve as a trusted advisor to Sales, Channels, Customer Success, Sourcing, and other stakeholders on deal structure, risk trade-offs, and contracting strategy
Provide clear, practical guidance that enables the business to move quickly and confidently
Build, refine, and maintain commercial templates, playbooks, and workflows that improve efficiency, consistency, and speed across North America
Partner with Deals Desk, Finance, and Operations to streamline contracting and support predictable deal execution
Work closely with legal colleagues across regions to ensure alignment on commercial standards, policies, and best practices
Share knowledge and help drive consistency while remaining responsive to local business needs
Stay current on relevant legal and regulatory developments related to IP, data privacy, security, and commercial contracting
Apply legal insight in a practical, business-oriented way across multiple jurisdictions

Required

8+ years of experience as a transactional attorney, ideally in-house at a SaaS or technology company and/or at a leading law firm
Deep experience negotiating and advising on SaaS agreements, partner and channel contracts, vendor agreements, DPAs, and professional services agreements
Strong working knowledge of commercial contracts, intellectual property, and data privacy regulations, with the ability to translate legal risk into actionable business advice
Proven ability to manage multiple priorities, handle ambiguity, and operate independently in a fast-paced environment
Excellent communication skills and comfort collaborating with senior stakeholders across functions and time zones
Track record of building strong cross-functional relationships and operating as a solution-oriented partner
JD from an accredited U.S. law school and active license to practice law in California
