Responsibilities
Advise on executive compensation and employee benefits matters in connection with mergers and acquisitions, financings, and restructurings
Handle equity and incentive compensation arrangements, severance and change-in-control issues, and management rollovers
Advise on securities law aspects of executive compensation, including public company disclosure and compliance matters
Support compensation and governance issues arising in bankruptcy and restructuring contexts
Work closely with corporate, restructuring, tax, and securities teams on integrated transactions
Qualification
Required
2–3 years of experience in executive compensation and employee benefits at a comparable law firm
Experience supporting corporate transactions and financial restructurings
Strong academic credentials with excellent drafting and analytical skills
Commercial, detail-oriented, and comfortable working in a fast-paced, deal-driven environment
Preferred
Familiarity with securities disclosure and governance aspects of executive compensation is strongly preferred
