Responsibilities
Draft and negotiate tax provisions in stock purchase agreements, asset purchase agreements, partnership agreements, joint venture documents, and loan agreements
Advise on tax aspects of domestic and cross-border mergers, acquisitions, and restructurings
Support inbound and outbound international tax planning
Conduct legal research, prepare client memoranda, and contribute to structuring analysis
Work directly with clients and opposing counsel as a key member of deal teams
Manage multiple active transactions with strong attention to detail and deadlines
Qualification
Required
5–7 years of big law transactional tax experience
Strong background in M&A tax drafting and structuring
Exceptional academic credentials with excellent writing, research, and communication skills
Client-facing, commercially minded, and able to manage concurrent high-value matters
Licensed, or eligible to become licensed, to practise in Texas
Residing in the Dallas area (or planning to relocate prior to start)
Preferred
Experience with international tax issues is highly advantageous
