Law Practice
Responsibilities
Conduct M&A due diligence and manage full-cycle deal execution
Draft and negotiate M&A agreements, including purchase agreements, shareholder/ operating agreements, and ancillary documents
Represent clients in negotiations and coordinate with specialist co-counsel
Review, draft, and negotiate a broad range of commercial contracts, including services agreements, MSAs, contractor agreements, NDAs, reseller/partnership agreements, terms of service, and licenses
Collaborate closely with other deal professionals, team members and clients to deliver tailored, high-quality legal solutions
Qualification
Required
Juris Doctor (J.D.) from an accredited law school
Active bar membership in good standing
3–4 years of experience at a large national law firm with a focus on M&A and commercial contracts
Strong understanding of buy- and sell-side M&A transactions
Experience working with private equity deal professionals or PE-backed portfolio companies
Excellent drafting, negotiation, and communication skills
Highly organized, detail-oriented, and capable of working independently in a remote environment
