Asst General Counsel

Textron Specialized Vehicles is seeking an Assistant General Counsel to support their legal team. The role involves coordinating RFIs/RFPs/RFQs, drafting and negotiating contracts, and advising on compliance and procurement issues.

Responsibilities

Coordinate Requests for Information (RFIs)/Requests for Proposal (RFPs)/Requests for Quotation (RFQs) with internal and external customers
Draft and negotiate complex commercial and government contracts (distribution, licensing, strategic sourcing, state and local government procurements, and various sales and services agreements)
Extensive experience drafting, reviewing, and negotiating Software as a Service (SAAS) agreement, including data processing agreements that address complex data privacy requirements and regulatory compliance
Proven ability to prepare and negotiate Service Level Agreements (SLAs), ensuring clear expectations for service delivery, performance standards, and data protection obligations
Be a principal advisor to sales and procurement professionals on a broad range of commercial and government contracting issues involving domestic and international customers and vendors
Support and implement process improvement techniques to assist in the development of TSV’s legal institutional knowledge, and to ensure that TSV sales and procurement activities are conducted in compliance with TSV policy and applicable law
Assist with the evaluation of potential dealers and distributors in accordance with Textron’s Global Anti-Corruption Compliance program
Provide training and support for Textron’s Ethics & Compliance program, including managing investigations, reviewing, and approving gifts, hospitality, and travel requests for compliance

Required

Education: Juris doctorate or LLM required; preferably paired with an undergraduate or advanced degree in computer science, library sciences, business, commercial transactions, international affairs, or similar field and state bar membership
Years of Experience: 5+ years of experience required, either at a law firm, in-house, or a combination
Software Knowledge: Microsoft Office and Team Connect Experience required
Additional Requirements: Up to 25% of occasional travel—must be able to travel independently
Significant experience with USG acquisition process, including the FARS and DFARs. Knowledge or experience in aviation, ground handling, commercial airline, manufacturing, and materials handling
Experience managing outside counsel and advising clients in the manufacturing sector (including, but not limited to, FCPA compliance and similar anti-corruption requirements)
