Responsibilities

Draft, review, analyze, structure, and negotiate a wide variety of procurement agreements including purchase agreements (e.g., direct materials, equipment) and services agreements (e.g., consultancy, IT services agreements, SaaS agreements, design, and construction).

Supervise contract specialists, paralegals and junior attorneys in their review of procurement agreements.

Coordinate with Company stakeholders on technical, financial, operational, compliance and risk mitigation aspects of the agreements

Help build and improve forms, processes, policies, and playbooks

Advise Procurement personnel with respect to compliance policies, vendor relations, contract matters.

Develop and implement contract risk mitigation strategies

Support corporate insurance renewals and manage insurance claims

Provide ongoing training to Company personnel on legal issues

Work well in a fast-paced, dynamic work environment

Required

Demonstrated expertise in technology transactions/commercial contracting

Experience managing contract professionals

Excellent drafting and negotiation skills

Exceptional organizational, project management and multitasking skills with a proven ability to operate independently with limited supervision

Ability to collaborate with a wide variety of people, at all levels in the company

Strong integrity and sound judgment

Sense of humor

Intellectual curiosity and a willingness to learn

JD from an accredited US law school

Bar membership in good standing in at least one US state

Preferred

Experience negotiating inbound equipment, technology, and services contracts at a rapidly growing biotech or tech company

Experience with risk management and corporate insurance programs

Combination of large law firm and prior in-house experience

Prior experience with legal workflow technologies such as contract lifecycle management

General knowledge of worldwide data privacy regulations and/or ITAR/DFAR regulations is a plus
