Responsibilities
Offering advice and guidance on corporate governance best practices.
Ensuring compliance with listing, statutory, and regulatory requirements.
Identifying and implementing improvements in company secretarial policy and procedure.
Reviewing subsidiaries with local counsel, regional controllers, and colleagues to ensure accuracy of corporate records.
Preparing and maintaining custody of corporate books and records, approvals, and filings.
Establishing and managing global subsidiary entity information and entity management database.
Preparing a calendar of all regulatory filings and managing all filing requirements globally.
Providing timely responses to requests for information relating to corporate actions and records.
Managing special corporate projects, including new entity formation and entity restructuring.
Mentoring, managing and supporting junior colleagues, facilitating their career development.

Required
A chartered secretary (such as CGI) or qualified lawyer with significant company secretarial experience.
7+ Years’ relevant experience.
Strong technical and analytical skills, with the ability to think broadly on issues and apply sound judgement in problem solving.
Passionate about ensuring corporate governance best practice with the ability to identify and drive efficiencies in policies and frameworks.
Excellent written and verbal communication skills, with attention to detail and the ability to deliver complex messages in a simple and creative way.
Thorough understanding of company law, applicable listing and disclosure rules and other corporate governance and compliance matters relevant to a listed company.
Strong project management, planning and organizational skills and the ability to work well under pressure, prioritize effectively and meet deadlines.
Demonstrated experience utilizing technology to maintain corporate books and records and develop efficient processes and procedures.
High energy levels, resilience and ability to work effectively and collaboratively with colleagues at all levels across the organization.
Positive attitude and willingness to go above and beyond to support the team and wider business.
Experience efficiently managing outside counsel.
Preferred
People management experience is preferred.
