Responsibilities

Prepares, reviews, negotiates, and manages a wide variety of commercial agreements, including supply agreements, customer agreements with healthcare practitioners and private label clients, distributor agreements, NDAs, event, vendor, and independent contractor agreements, SaaS agreements, professional services agreements, agency and marketing services agreements, equipment purchases and leases, commercial real estate leases, etc.

Advise key stakeholders on contract strategy, legal risk, and risk mitigation while working successfully to achieve business objectives.

Collaborates with Legal Operations team in contract automation efforts and supports continuous improvement projects for contract templates, playbooks, processes, and systems.

Draft privacy notices, policies, and procedures in support of DFH’s data privacy, HIPAA, and information security compliance programs.

Review data collection and use practices to ensure consistency and legal compliance.

Maintain and monitor the organization's privacy requirements landscape and related procedures, data transfer requirements, notice and consent obligations, and any other data collection requirements.

Conduct data privacy risk assessments and direct the development and implementation of data privacy risk mitigation activities.

Stay up to date on privacy and data security laws and regulations applicable to the Company’s businesses and the jurisdictions in which it operates globally and develop compliant recommendations to address risks.

Refines, tracks, and consistently delivers against KPIs for legal service delivery levels.

Other special projects and duties as may be assigned from time to time.

Required

J.D. from an ABA accredited law school with strong academic credentials.

License to practice law in any U.S. state.

Ability to obtain Authorized House Counsel status in Florida, if not licensed in Florida.

At least 5 years of professional experience as an attorney working in a relevant area of practice, at least 2 of which have been within a corporate legal department.

Commercial transactions experience required, including knowledge of contract law and experience drafting and negotiating a variety of commercial agreements and resolving contract disputes.

Privacy experience required, IAPP certification a plus.
