Senior Legal Director - Boston, MA, Remote

Responsibilities
Structuring, negotiating, and closing M&A and other strategic transactions
Preparing and reviewing public company securities filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, proxy statements, and earnings disclosures; actively participating in Disclosure Committee processes
Assisting Cimpress’ Board of Directors and its committees with drafting resolutions, minutes, and meeting materials
Providing advice on long-term incentive (LTI) plan administration and drafting award agreements
Executing debt financing transactions such as credit agreement amendments and bond offerings, including related ongoing compliance
Drafting and negotiating commercial contracts, including vendor agreements, procurement agreements, and intellectual property licenses
Supporting Cimpress’ global compliance program, including managing the confidential reporting helpline
Providing legal support to Cimpress’ tax, treasury, investor relations, sustainability, HR, and communications teams
Partnering with and managing outside counsel to address complex legal issues efficiently

Required
Minimum of 7+ years of legal experience, including 4+ years at a nationally recognized law firm with a focus on transactional work
Recent experience working at a U.S. publicly traded company, including managing SEC reporting and securities law compliance
Excellent project management skills with the ability to multitask, prioritize and respond quickly
Exceptional analytical, negotiation, and communication skills with the ability to simplify complex legal and business issues for diverse audiences
A growth mindset with a commitment to continuous improvement, a willingness to embrace change, and an interest in business challenges and opportunities
High degree of professionalism, integrity, and sound judgment in all aspects of work
Juris Doctor (JD) degree from a top ABA-accredited law school
Admission to the bar in any state required
Preferred
Massachusetts bar admission is preferred
